English summary: It is of great importance when formulating a contract to know whether or not one of the terms is subject to the unfairness test for preformulated contract clauses. In this work, the author defines the scope of individually negotiated contract clauses which are not subject to the judicial unfairness test. He discusses this subject from the perspective of constitutional law, legal theory and European law, and presents a concept which leaves more room for agreements not subject to control, especially in business transactions, but also considers the requests of consumer protection. The author's approach, which includes typical cases, is compared to the judgments of the Federal Court of Justice.


German description: Ob eine Vertragsbestimmung der Inhaltskontrolle nach dem AGB-Recht unterliegt, ist fur die vertragsrechtliche Praxis von grundlegender Bedeutung. Die vorliegende Arbeit hat zum Ziel, den Anwendungsbereich kontrollfreier Individualvereinbarungen zu bestimmen. Hierzu werden Zweck und Grenzen der AGB-Kontrolle aus verfassungsrechtlicher, rechtstheoretischer und europarechtlicher Perspektive erortert. Im Ergebnis wird die Klauselkontrolle mit der legitimen Ignoranz des Verwendungsgegners gegenuber vorformulierten Bestimmungen gerechtfertigt. Es folgt eine ausfuhrliche Analyse und Kritik der BGH-Rechtsprechung zum eAushandeln' vorformulierter Klauseln. Ihr stellt Tobias Miethaner ein Konzept gegenuber, das insbesondere im unternehmerischen Geschaftsverkehr mehr Raum fur kontrollfreie Vereinbarungen schafft, ohne den Verbraucherschutz zu vernachlassigen. Im Anschluss untersucht er praktisch wichtige Fallkonstellationen.
